Terms of Service

1. Who we are and what we do

The website syntranova.ai and the related services are operated by SYNTRANOVA AL LTD (HE 485824), a company registered in Cyprus, located at Nikis 1, Anthoupoli, 2350, Nicosia, Cyprus.

We offer software development, AI, mobile, fintech, automation, and related services (“Services”). By accessing this site or contracting the Services, you accept these terms.

2. Use of the website

You agree not to use the website for:

• Illegal, fraudulent actions, or actions that infringe on the rights of others
• Distributing malware, spam, or attacks (DDoS, aggressive scanning, etc.)
• Reverse engineering our infrastructure
• Automated scraping at scale without written consent

3. Services and offer

The prices displayed on the site (“from €X”) are indicative, for standard projects. The final price is determined based on the specific scope, through a written offer signed by both parties.

Orders become binding only after written acceptance of the offer and payment of the agreed advance (usually 30-50%).

4. Delivery and acceptance

Timeline estimates are indicative. Delivery includes weekly demos and a 14-day acceptance period (UAT), during which you can report non-conformities.

Changes that exceed the agreed scope (“change requests”) are billed separately based on the communicated hourly rate.

5. Payments

• Advance: 30-50% upon signing the contract
• Mid-milestone: 30-40% at the end of the build phase
• Upon delivery: 20-30% at go-live
• Maintenance: monthly subscription, paid in advance

Payment delays > 30 days may lead to the suspension of recurring services and penalties as per the contract.

6. Intellectual property

Upon full payment, you transfer to us the rights for the delivered code (except for the open-source libraries used and our reusable internal components, which remain the property of Syntranova and are provided to you under a perpetual, non-exclusive, worldwide license).

We may mention the collaboration as a reference in our portfolio, with your prior consent. Detailed case study = explicit consent per case.

7. Warranty and liability

We guarantee the compliance of the deliverables with the agreed specifications. Defects reported during the UAT period and 90 days after go-live will be remedied free of charge.

Total liability for a project is limited to the total value of the billed Services. We exclude liability for indirect damages, lost profits, or data losses not caused by our gross negligence.

8. Confidentiality

Everything you share with us during the project (data, strategies, plans) is confidential. We can sign an additional NDA upon request.

9. Force majeure

We are not responsible for delays or non-performance caused by events beyond our reasonable control (acts of God, war, massive cyber-attacks, international sanctions, significant disruptions of cloud networks).

10. Termination

Both parties may terminate the contract for material non-performance, with a written notice of 30 days, providing an opportunity for remedy.

Monthly maintenance can be terminated with a 30-day notice, without penalties.

11. Jurisdiction and applicable law

These terms are governed by the law of the Republic of Cyprus. Any unresolved dispute will be addressed in the competent courts of Nicosia, Cyprus.

For EU consumers, protections from the legislation of the country of usual residence also apply.

12. Changes

We may update these terms. Changes take effect upon publication. For signed contracts, the version agreed upon at signing prevails.
